Intellectual Property Rights

Unless otherwise indicated, the Site and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") are owned or licensed to us and are protected by copyright and trademark laws.

Upon full payment of all fees due under a Services agreement, we grant you a non-exclusive license to use the final deliverables (such as a completed website) for your business purposes, except where third-party assets, stock imagery, plugins, or licensed software are involved, which remain subject to their original licensing terms. Unless otherwise agreed in writing, we retain ownership of any proprietary frameworks, code libraries, or pre-existing tools used in the creation of deliverables.

User Representations

By using the Site or engaging our Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you have the legal capacity and authority to agree to these Terms; (3) you will not use the Site or Services for any illegal or unauthorized purpose; and (4) your use of the Site and Services will not violate any applicable law or regulation.

Services and Deliverables

We provide web design, development, and related digital services as outlined in a separate proposal, statement of work, or service agreement ("Project Scope"). Any revisions, timelines, or deliverables not explicitly included in the agreed Project Scope may be treated as additional work and billed separately.

Estimated timelines are provided in good faith but are not guaranteed, as project completion may depend on timely feedback, content, and approvals from the client. We reserve the right to pause work on any project where required client input is not received within a reasonable period.

Payment Terms

All fees for Services are outlined in the applicable proposal or invoice and are due according to the agreed payment schedule. Late payments may result in a suspension of services, removal of hosted content, or accrual of late fees as specified in the service agreement. Unless otherwise stated, deposits are non-refundable once work has commenced.

Limitations of Liability

In no event shall we or our directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, or data loss, arising from your use of the Site or Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or our Services shall not exceed the amount paid by you to us in the six (6) months preceding the claim.

Governing Law

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
